These terms outline the general conditions for using the CodeStack website and engaging with CodeStack Web & IT Solutions.

01. Acceptance of Terms

By accessing or using the CodeStack website, submitting inquiries, or engaging with our services, you explicitly agree to comply with these Terms & Conditions. If you do not agree with these terms, please do not use the website or engage with our digital services.

02. About CodeStack

CodeStack Web & IT Solutions provides digital and technology-related services. This includes, but is not limited to, website development, custom web applications, UI/UX design, and other digital technology solutions structured around specific business requirements.

03. Website Usage

Visitors to our website agree to use it only for lawful purposes. Users agree not to:

  • Misuse the website or its infrastructure.
  • Attempt unauthorized access to our servers, databases, or restricted areas.
  • Upload malicious content, viruses, or spam through contact forms.
  • Interfere with the website's functionality or performance.

04. Services

CodeStack may provide services based strictly on individual project requirements discussed and agreed upon with the client. Possible services include Web Development, Web Applications, UI/UX Design, Website Redesign, and Custom IT Solutions. The exact nature of the service provided will be defined in a formal project agreement or accepted proposal.

05. Project Requirements

To ensure project success, clients are required to provide accurate information. This includes business information, required text content, images, brand assets, technical requirements, and access credentials where necessary. The client guarantees that they hold the necessary rights and licenses for any content or assets they provide to CodeStack.

06. Proposals & Scope

Project scope will be based exclusively on the requirements agreed upon between CodeStack and the client before development begins. The scope generally defines the required pages, features, technology stack, design requirements, integrations, and estimated timeline. Scope Change: Additional requirements introduced after initial approval may require changes to both the project timeline and the total cost.

07. Payments

Payment terms, milestone schedules, and total costs will be communicated and agreed upon in writing before any project development begins. Work generally commences only after the receipt of an agreed initial advance payment. Final deliverables or production deployments are subject to the clearance of final payments.

08. Changes & Revisions

We aim for complete client satisfaction. Reasonable revisions within the agreed project scope may be included during the design and development phases. However, requests that significantly change the initially approved scope, structure, or functionality may be treated as additional work and billed accordingly.

09. Client Responsibilities

The client is responsible for:

  • Providing accurate project information and technical constraints.
  • Supplying required content (text, images, branding) in a timely manner.
  • Providing prompt feedback during review cycles.
  • Providing necessary approvals to move between development stages.

Delays in receiving required information, assets, or approvals from the client may actively delay the project timeline and delivery date.

10. Intellectual Property

Intellectual property rights are structured to protect both the client and CodeStack:

  • Client-Owned Deliverables: Upon clearance of all final payments, the agreed custom deliverables (such as the final application code or website) are transferred or licensed to the client according to the project agreement.
  • CodeStack-Owned Materials: Reusable components, internal frameworks, libraries, proprietary development techniques, and templates developed by CodeStack remain the intellectual property of CodeStack unless specifically agreed otherwise.
  • Third-Party Assets: Fonts, icons, plugins, images, and APIs utilized in the project may be subject to third-party licenses which the client must adhere to.

11. Third-Party Services

Modern digital solutions rely on external infrastructure. Projects may depend on services such as Firebase, Netlify, GitHub, payment gateways, email services, or third-party APIs. These third-party services are subject to their own terms of service, privacy policies, uptime availability, and pricing changes outside of CodeStack's control.

12. Project Delivery

Depending on the agreed scope, project delivery may include the transfer of source code, production deployment to a live server, domain configuration, basic operational documentation, and the handover of necessary credentials.

13. Support & Maintenance

CodeStack does not automatically provide infinite post-launch support. Ongoing maintenance, bug monitoring, content updates, or additional feature development may be provided separately depending on the post-launch support arrangement agreed upon with the client.

14. Cancellation

Either party may request project cancellation subject to the terms of the applicable project agreement. In the event of cancellation, work already completed, approved phases, or delivered assets will be subject to applicable payment obligations up to the point of cancellation.

15. Warranties & Limitations

While reasonable and professional efforts are made to deliver high-quality, reliable solutions, CodeStack does not guarantee that every website or application will always remain completely free from minor bugs, future browser incompatibilities, or downtime. Third-party platforms and APIs may experience changes or outages that are entirely outside CodeStack's control. In no event shall CodeStack be liable for indirect business losses or damages arising from the use of our digital products.

16. Confidentiality

Sensitive business information, trade secrets, and proprietary concepts shared by clients for the purpose of a project will be treated as confidential where applicable, and may be subject to any separate Non-Disclosure Agreement (NDA) signed between the parties.

17. Changes to Terms

CodeStack Web & IT Solutions reserves the right to modify or update these Terms & Conditions at any time without prior notice. Any updated terms will be published on this page with a revised "Last Updated" date.
